Brokerage Terms of Service
These terms govern a brokerage's ZipISA platform subscription: the service, seats, monthly billing, cancellation, and what the brokerage and its agents are responsible for.

Agreement and arbitration notice
These Brokerage Terms of Service (the "Terms") are a binding agreement between the real estate brokerage that signs up ("you") and Truth Group, doing business as "ZipISA," and govern your brokerage's use of the ZipISA brokerage platform and related services (the "Services").
The person who accepts these Terms confirms that they are at least 18 years old and have authority to bind the brokerage. By signing up, paying, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
ZipISA's Terms of Service for individual agents, at zipisa.com/terms, do not govern your brokerage's subscription.
Please read the dispute section carefully. It requires binding individual arbitration and waives class actions and jury trials except where the Terms say otherwise.
1. The Services
ZipISA runs your brokerage's own branded platform at a zipisa.com address such as yourbrokerage.zipisa.com (your "Platform"). On it, your agents ("Agents") work with an automated AI assistant (the "AI ISA") that finds likely sellers in their ZIP codes, writes to them and follows up, and identifies visitors to the Agents' own websites. Your broker administrators ("Admins") manage the brokerage from the same Platform.
The self-serve Core package includes 21 Pro seats across 7 ZIP codes. Other packages are available only by written agreement with ZipISA.
Stated volumes, such as homeowners reached, outreach emails a week, and website visitors identified, are targets and monthly limits, not guarantees. They may vary by territory and data availability, and an Agent's outreach ramps up over their first four weeks.
ZipISA is a tool only. It is not your employee or compliance advisor, and it does not guarantee replies, appointments, listings, closings, or income.
2. Your Agents and Admins
- You must be a licensed real estate brokerage or otherwise lawfully authorized to conduct the outreach the Services perform for you. Each Agent you add must hold the licenses their work requires.
- Admins add, replace, and remove Agents, edit your brand, and manage other Admins and billing. Admins act on your behalf.
- You are responsible for your Agents' and Admins' use of the Services and their compliance with these Terms, and for adding and removing them. Their use of the Services is your use.
- Agents and Admins sign in with a code sent to their email. Keep those email accounts secure. Notify support@zipisa.com promptly about unauthorized use.
- A removed Agent can no longer sign in, and their seat is released. ZipISA does not transfer a removed Agent's homeowners or conversations to another Agent.
- ZipISA supports your Admins at support@zipisa.com. Help inside your Platform directs Agents to your brokerage, so you are your Agents' first point of contact.
- ZipISA does not bill your Agents, and they cannot buy seats or plans from ZipISA while they are on your Platform.
- ZipISA may refuse, suspend, or terminate accounts at its discretion.
3. Seats and ZIP codes
- Each ZIP code has 3 Pro seats. ZipISA offers them first come, first served, to all of its customers, including agents outside your brokerage.
- When an Admin adds an Agent, the Agent takes one Pro seat in one ZIP code. Your package caps how many seats and ZIP codes you hold.
- A seat is yours only while one of your Agents holds it. ZipISA does not reserve seats for you. A seat released when an Agent is removed is open to any buyer until you fill it.
- If a ZIP code has no open seat, choose another ZIP code for that Agent. ZipISA does not guarantee that any ZIP code or seat will be available.
- Agents can be added only while your subscription is in good standing: after your first payment clears, and not while your brokerage is suspended.
4. Fees and billing
- You pay a monthly platform fee. For self-serve Core it is $3,500 a month. A different fee applies only where ZipISA agrees it with you in writing.
- Fees are billed monthly in advance through Stripe and charged automatically to the payment method on file. The first month is charged when you sign up, and your Platform goes live when that payment clears. A bank payment can take a few business days to clear.
- Your subscription renews automatically each month until it ends, and you authorize ZipISA and Stripe to charge your payment method on a recurring basis.
- Admins update the payment method, billing address, and tax ID, and see invoices, in the billing portal reached from your Platform's settings. Billing emails go to your billing email address and every Admin.
- ZipISA may change the monthly fee by emailing your billing email address and Admins. A change applies from your next bill after the notice and never changes a bill already issued.
- Fees are not refunded for a partial month, except where required by law.
- You agree to contact support@zipisa.com before initiating a chargeback or payment dispute. Filing a chargeback for a charge that is valid under these Terms is a breach of these Terms and may result in suspension, termination, and immediate acceleration of amounts owed.
5. Term and cancellation
- Your subscription is month to month.
- To cancel, send a written request to support@zipisa.com. ZipISA schedules the cancellation to take effect at the end of the current billing period. Admins cannot cancel in the billing portal.
- Your Agents keep working until the cancellation takes effect. ZipISA emails your billing contacts the end date, and you may withdraw the request before then.
- Cancelling does not refund the current billing period, which is already paid and during which the Services continue.
- When your subscription ends, your Agents are paused as described in section 6. An Admin can restart by starting a new subscription from your Platform's billing settings.
6. Late or failed payment
- If a payment fails, Stripe retries it for up to about 14 days. The Services continue during that time, and ZipISA emails your billing email address and Admins so you can pay or update the payment method.
- If the payment is still unpaid after the retries, your subscription ends and your brokerage is suspended. Your Agents are paused: the AI ISA stops finding homeowners for them, writing to new homeowners, and answering replies until the subscription restarts. Follow-ups already scheduled may still be sent.
- Admins can still sign in while the brokerage is suspended. Restarting starts a new subscription, and its first month is charged when it starts. When it starts, ZipISA voids the unpaid invoice of the subscription that ended.
- ZipISA may suspend or terminate the Services if payment fails or a balance is overdue.
7. Seller ads
- Where offered, ZipISA builds and runs seller ads on Facebook and Instagram for your ZIP codes, and leads from them go to the AI ISA. Ads are optional.
- Building and running the ads is part of your package. Ad spend is not. It is billed separately from the monthly fee to the payment method on file for your brokerage, and each charge is shown in your Platform's activity log.
- If an ad spend charge fails, your ads pause.
- Ads run on Meta's platforms and are subject to Meta's terms and advertising policies, and to fair housing and advertising laws. ZipISA does not guarantee ad delivery, leads, or results.
8. Home Value Pros
Where offered, your Agents may be listed as Featured Local Pros on Home Value Pros and receive seller referrals in their ZIP codes.
Referrals are made under Home Value Pros' referral terms, including a 15% referral fee, in a separate agreement where one applies. These Terms do not change those terms.
9. Your brand and address
- You grant ZipISA a non-exclusive, royalty-free license to use your brokerage's name, logo, and colours, and the assistant name you choose, solely to provide the Services. That includes your Platform, its sign-in page, and emails to your Agents and Admins.
- You confirm that you own or have the rights to everything you give ZipISA for your brand, and that ZipISA's use of it to provide the Services will not infringe anyone's rights.
- Your brand appears to your Agents and Admins. It does not appear in outreach to homeowners, and billing emails come from ZipISA.
- Your Platform's address is part of zipisa.com and is not transferable. ZipISA may refuse any address, and only ZipISA can change it.
10. Acceptable use
These rules apply to you, your Agents, and your Admins.
- Do not use the Services to send unlawful, misleading, harassing, deceptive, defamatory, or discriminatory communications.
- Do not use the Services to contact people you know or should know have opted out, are on suppression lists, or have not been lawfully sourced for outreach.
- Do not upload, target, or contact people in violation of fair housing, anti-discrimination, telemarketing, anti-spam, privacy, or real estate advertising laws.
- Do not resell, sublicense, scrape, export, copy, or transfer homeowner data except for your own legitimate real estate business as permitted by ZipISA.
- Do not reverse engineer, interfere with, overload, or attempt unauthorized access to the Services.
11. Outreach, compliance, and shared responsibility
ZipISA sends commercial communications on your Agents' behalf, but compliance is shared responsibility.
- ZipISA sends outreach from its infrastructure under the AI ISA identity, includes sender identification, automated-assistant disclosure where required by law, a valid physical mailing address, and unsubscribe or STOP mechanisms.
- Outreach email to homeowners is signed by the AI ISA as the assistant for Home Value Pros. It does not use your brokerage's brand or your Agents' names, likeness, or contact details. An Agent is introduced only after a homeowner expresses interest.
- ZipISA processes unsubscribe and opt-out requests for the outreach it sends and keeps the suppression lists.
- Adding an Agent authorizes ZipISA to start outreach for that Agent in their ZIP code. You confirm that the Agent agrees to it.
- You and your Agents remain responsible for the lawfulness of your outreach program, including compliance with CAN-SPAM, TCPA, state texting and telemarketing rules, Do-Not-Call obligations, fair housing laws, privacy laws, and real estate licensing or advertising rules.
- You remain responsible for supervising your Agents as your brokerage's licensing rules require.
- You acknowledge that automated cold email and SMS outreach can carry legal risk and that ZipISA is not your legal or compliance advisor.
12. Website visitor identification
- Visitor identification works only on websites where an Agent installs ZipISA's code. Before the code is provided, the Agent must add ZipISA's disclosure to that website's privacy policy and confirm it.
- You are responsible for keeping that disclosure in place, for each website's compliance with privacy and consumer protection laws, and for honoring opt-out requests made through it.
- Each Pro seat includes a monthly number of identified visitors. Past it, visits are still recorded, but their contact details stay locked.
13. Homeowner and lead data
Homeowner and lead data made available through ZipISA is licensed to you and your Agents solely for your legitimate real estate business purposes.
Each Agent sees the homeowners the AI ISA found and contacted for them in their own dashboard, and can export that list as a CSV. Admins see the brokerage's activity in aggregate and can open any active Agent's dashboard, read-only.
You and your Agents must handle that data in accordance with applicable privacy laws and the ZipISA Privacy Policy at zipisa.com/privacy, honor opt-out requests, and not retain the data after termination longer than permitted by law.
Data is provided "as is." ZipISA does not guarantee accuracy, completeness, homeowner intent, or conversion results.
14. Intellectual property and feedback
The Services, software, designs, workflows, and ZipISA brand assets are owned by ZipISA or its licensors and are protected by intellectual property laws.
ZipISA grants you a limited, non-exclusive, non-transferable, revocable license to use the Services, and to let your Agents and Admins use them, during your subscription as permitted by these Terms.
If you send feedback or suggestions, you grant ZipISA a perpetual, royalty-free, worldwide license to use them without compensation or obligation.
15. Third-party services
The Services may integrate with third-party tools such as calendar links, booking providers, hosting services, data vendors, analytics tools, advertising platforms, and Stripe for payments.
Those services may have their own terms and privacy practices, and ZipISA is not responsible for them.
16. Disclaimers and no results guarantee
The Services are provided "as is" and "as available" to the fullest extent permitted by law, without warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted performance.
Any examples, projections, testimonials, or revenue illustrations are illustrative only and are not guarantees of leads, appointments, listings, closings, or income.
17. Limitation of liability and indemnification
To the fullest extent permitted by law, ZipISA and its owners, officers, employees, and suppliers are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
ZipISA's total aggregate liability for all claims arising out of or relating to the Services will not exceed the amount you paid ZipISA during the three months preceding the event giving rise to the claim.
You will defend, indemnify, and hold harmless ZipISA and its owners, officers, employees, and suppliers from claims, damages, losses, liabilities, and expenses arising out of your use of the Services, including use by your Agents and Admins, your outreach content or targeting, your brand materials, your violation of these Terms, or your violation of applicable law.
18. Termination and changes
These Terms apply while you use the Services. You may cancel as described in section 5.
ZipISA may suspend or terminate access at any time, with or without notice, including for non-payment or suspected violations of these Terms.
ZipISA may modify the Services or these Terms from time to time and will update the "Last updated" date when changes take effect. A fee change follows section 4.
19. Governing law and dispute resolution
These Terms are governed by Wyoming law, without regard to conflict-of-laws rules.
Before starting arbitration, you agree to attempt informal resolution by contacting support@zipisa.com for at least 30 days.
If a dispute is not resolved informally, it will be resolved by binding individual arbitration administered by a recognized arbitration provider under applicable rules, rather than in court, except for small claims or limited injunctive relief described in the Terms.
You and ZipISA waive any right to participate in class actions or jury trials. You may opt out of the arbitration agreement within 30 days of first accepting these Terms by emailing support@zipisa.com with the subject line 'Arbitration Opt-Out.'
20. General terms
- These Terms, any written fee agreement between you and ZipISA, and the Privacy Policy are the entire agreement between you and ZipISA regarding the Services. Home Value Pros' referral terms are a separate agreement.
- You may not assign these Terms without ZipISA's consent. ZipISA may assign them in connection with a merger, acquisition, financing, or asset sale.
- If any provision is unenforceable, the remaining provisions remain in effect.
- ZipISA's failure to enforce a provision is not a waiver.
- You consent to receive notices and records electronically.
